Content Service Agreement

These terms govern all paid service engagements with WP Mayor. By purchasing a service, you agree to the terms outlined below.

1. Service Scope and Editorial Control

Each service offering is clearly defined on its respective sales page. Deliverables include only what is listed. Additional requests outside this scope may require a new agreement or incur extra charges.

WP Mayor retains complete and final editorial control over all published content. This includes but is not limited to: article structure, tone, word choice, opinions, ratings, recommendations, comparisons, criticisms, headlines, and SEO decisions. Our editorial standards and audience needs guide all content decisions.

The client’s role is limited to fact-checking only. Clients are provided preview access to verify the factual accuracy of information about their product or service before publishing. Clients may flag and request corrections for:

  • Demonstrably incorrect facts (such as wrong pricing, incorrect feature descriptions, technical specifications, and company details, among others).
  • Factual misrepresentations that can be objectively proven false with documentation.

Clients may NOT request changes to:

  • Editorial opinions, judgments, or recommendations
  • Ratings, scores, or comparative assessments
  • Tone, writing style, or narrative approach
  • Article structure, headlines, or formatting
  • SEO strategy, keyword targeting, or optimization decisions
  • Inclusion or exclusion of topics, features, or comparisons the editorial team deems relevant

Example: If a review states “Product X costs $99/year” but the actual price is $79/year, this is a factual error and will be corrected. If a review states “Product X’s interface feels cluttered” or “we recommend Product Y for beginners”, these are editorial judgments and are non-negotiable.

Important: Purchasing a content service does not guarantee a positive review or specific rating. We maintain editorial independence and will publish honest assessments based on our team’s evaluation.

2. Editorial Process and Revisions

As part of every written content service, clients receive up to two fact-checking periods per post. These are opportunities to review content for factual accuracy only, not to request editorial changes.

First Preview (Initial Draft):

  • Clients receive a draft to review for factual errors.
  • Feedback must be submitted within 7 calendar days.
  • Feedback must clearly identify factual errors with supporting evidence (such as links to documentation, correct pricing pages, technical specs).
  • All feedback must be consolidated in a single response.

Second Preview (Final Draft):

  • After factual corrections are made, clients receive a final preview.
  • Final fact-check feedback must be submitted within 7 calendar days.
  • Only newly introduced factual errors may be flagged at this stage.
  • All feedback must be consolidated in a single response.

Submission Requirements:

  • Each flagged item must include:
    • The specific error
    • The correct information
    • Supporting evidence
  • Feedback that requests editorial changes (tone, opinion, structure, etc.) will not be actioned and may result in immediate publication without further preview.

Important Boundaries:

  • Fact-checking periods are not content approval stages. Clients do not have veto power over publication.
  • Disagreement with editorial opinions, tone, or recommendations does not constitute grounds for revision.
  • Attempts to negotiate editorial control during fact-checking periods may result in the preview privilege being revoked for future engagements.

Non-Response Protocol: If no fact-checking feedback is received within the designated 7-day window(s), WP Mayor will proceed to publication without requiring further client consent. Silence is treated as confirmation that no factual errors exist.

Beyond Fact-Checking: Changes requested outside the scope of fact-checking, or after the two preview periods have concluded, may incur additional charges at our discretion. We are under no obligation to make changes that fall outside factual accuracy corrections.

SEO and Keyword Strategy: WP Mayor conducts its own keyword research and search engine optimization (SEO) decisions based on audience relevance, search intent, and content performance goals. Final decisions on target keywords, headline structure, and SEO implementation rest solely with our editorial team. We do not follow keyword stuffing practices or implement SEO instructions that compromise readability or editorial integrity.

3. Client Responsibilities

Work begins only after:

  • Full payment is received.
  • All required assets and access to the product or service are provided.

Failure to supply necessary materials may delay delivery. WP Mayor is not responsible for delays caused by incomplete submissions.

4. Communication and Collaboration

All communication is conducted via email. Occasional video calls may be scheduled if necessary.

Clients must clearly specify any areas of focus or product features they want highlighted in the submission form presented immediately after purchase. This input is treated as guidance, not instruction. WP Mayor retains full editorial discretion.

5. Content Ownership and Licensing

Content created under these services remains the intellectual property of WP Mayor, as it is published on our platform. Clients may request to use select quotes or material in their own marketing, which may be subject to a licensing fee.

6. Post-Publishing Updates

Future edits to published content are only made:

  • At our discretion and based on available resources, or
  • Under a Content Care Plan, which ensures priority updates.

Any major changes and updates to the published content which require a substantial rewrite may incur additional charges.

7. Product Feedback and Delayed Publishing

If our content includes critical feedback, identified product gaps, or recommendations for improvement that the client wishes to address before publication, the following procedures apply.

Client Request Process

  • The request to delay publication must be made in writing within 7 days of receiving the final draft.
  • The client must specify what changes or improvements they intend to make to their product.
  • The client must propose a realistic timeline for implementing these changes.

WP Mayor’s Discretion

  • We may agree to delay publication for up to 90 days to allow reasonable time for product improvements.
  • Delays beyond 90 days require explicit written agreement and may incur project management fees.
  • We are under no obligation to delay publication indefinitely or to wait for unspecified future improvements.

Publication Decision After Delay

If the 90-day window (or agreed extension) expires:

  • WP Mayor may choose to publish the original review as written, incorporating any objectively verifiable product improvements made during the delay period.
  • WP Mayor may choose to suspend the project and de-prioritize it indefinitely, with no refund issued.
  • WP Mayor may offer to re-review the product at a future date under a new service agreement (subject to additional fees).

Update Provisions

If the client addresses the feedback within the agreed timeline and provides evidence of improvements (updated product access, documentation, etc.):

  • WP Mayor will incorporate updates into the review at no additional charge, provided they do not require a substantial rewrite (defined as changes affecting more than 30% of the original content).
  • Substantial rewrites necessitated by major product changes may incur additional fees.

No Cancellation or Refund

Delayed publication does not constitute project cancellation. The content will eventually be published or suspended at WP Mayor’s discretion. No refunds are provided for delayed reviews as the editorial work has already been completed.

Editorial Independence Maintained

Even after product improvements are made, WP Mayor retains full editorial control over updated content, tone, and recommendations. Addressing feedback does not guarantee a more favorable review.

8. Visibility, Not Guaranteed ROI

When you engage our services, you’re investing in exposure to a highly targeted WordPress audience, not in guaranteed sales or lead generation.

WP Mayor is a media and content platform, not a performance marketing agency. Our job is to help you tell your story, highlight your product, and build trust with our readers. We provide reach, relevance, and editorial credibility, but we do not promise conversions, traffic spikes, or direct revenue.

The outcomes of content marketing can vary based on numerous factors including your product’s fit for our audience, your pricing, your offer, your onboarding flow, and the strength of your product itself.

We encourage you to view this engagement as a long-term brand awareness opportunity, not a short-term sales tactic.

9. Force Majeure

WP Mayor shall not be held liable for any failure or delay in fulfilling our obligations due to causes beyond our reasonable control. This includes but is not limited to natural disasters, power outages, internet failures, strikes, pandemics, or other unexpected disruptions.

10. Refund Policy

All payments are final and non-refundable once work has commenced. In rare cases where a refund is considered appropriate, it will be issued solely at WP Mayor’s discretion.

11. Limitation of Liability

To the maximum extent permitted by law, WP Mayor shall not be liable for any indirect, incidental, special, or consequential damages, or for any loss of profits, revenue, data, or business opportunities arising from or related to the services provided under this agreement. Our liability is strictly limited to the total amount paid for the specific service engagement in question.

12. Indemnity

By engaging our services, you agree to indemnify and hold harmless WP Mayor, its parent company RebelCode Ltd, and its team members from any claims, liabilities, losses, or expenses, including reasonable legal fees, arising out of content, access, or materials you provide to us. This includes, but is not limited to, inaccurate claims, copyright infringement, or violation of any third-party rights.

13. Governing Law and Jurisdiction

This agreement is governed by the laws of Malta. Any disputes arising from or relating to this agreement shall be subject to the exclusive jurisdiction of the Maltese courts.

14. Terms Updates

We reserve the right to update these terms at any time. Significant changes will be communicated to active clients with pending jobs.
